Terms of Service

Last updated: April 2026

Important notices: These Terms include an auto-renewal clause (Section 5) and a binding arbitration clause (Section 18). Please read them carefully before using the Service.

1. Acceptance of Terms

By accessing or using Foxello ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (or the organization you represent) and Ana Nenada, operating as Foxello ("we", "us", "our"), located in Rousse, Bulgaria. By creating an account, you confirm that you are at least 18 years of age and have the authority to bind yourself or your organization to these Terms.

2. Description of Service

Foxello is an AI-powered document processing platform that enables users to extract structured data from documents including invoices, forms, shipping documents, and other file types. The Service includes automated extraction workflows, human validation tools, API access, and export capabilities.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.

The Service is designed to be fully automated. While validation tools are provided for user-led review, Foxello personnel do not access or monitor your document content except as strictly necessary to provide support at your request.

3. Account Registration and Security

To access the Service, you must create an account. You agree to provide accurate and complete registration information and to keep this information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach at hello@foxello.com.

You may not share your account credentials with others or create accounts on behalf of others without authorization.

4. Permitted Use and Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to process documents you do not have the right to process
  • Upload content that is illegal, harmful, fraudulent, or violates any third-party rights
  • Attempt to reverse-engineer, decompile, or extract source code from any part of the Service
  • Use automated systems, bots, or scripts to abuse the Service, send excessive requests, or circumvent usage limitations
  • Probe, scan, or test the vulnerability of any system or network associated with the Service
  • Attempt to bypass, disable, or interfere with any security or authentication measures
  • Resell or sublicense access to the Service without our written consent
  • Use the Service to train competing AI systems or document extraction models
  • Engage in any activity that disrupts, degrades, or impairs the performance of the Service for other users

We reserve the right to suspend or terminate access immediately, without prior notice, if we determine at our sole discretion that you have violated this section.

5. Subscription, Auto-Renewal, and Billing

Access to extraction features is provided through subscription plans or prepaid token packs. Plan details, pricing, and usage rates are described on the pricing page and may be updated with advance notice.

Auto-renewal: Subscriptions automatically renew at the end of each billing period (monthly or annually, as selected) at the then-current rate, unless you cancel before the renewal date. You will receive a reminder notification before each renewal. To cancel, visit your account settings or contact us at hello@foxello.com before the renewal date.

All purchases are processed by Lemon Squeezy, our Merchant of Record, who handles billing, payment processing, tax collection, and compliance. We do not store payment card details.

All fees are non-refundable except as required by applicable law or where Lemon Squeezy's policies provide otherwise. Your plan's monthly model token and OCR page allowance resets every 30 days and does not carry over; prepaid token packs do not expire. We are not responsible for tokens consumed due to user error or misconfigured workflows.

If payment for your subscription is past due, we may suspend access until payment is received.

6. Service Availability

We target a monthly uptime of 99.5%, measured over each calendar month, excluding scheduled maintenance and circumstances beyond our reasonable control. We will provide at least 24 hours' notice of scheduled maintenance where possible.

The Service is provided on a commercially reasonable efforts basis. We do not guarantee uninterrupted availability and shall not be liable for downtime caused by third-party infrastructure providers, force majeure events, or circumstances outside our control.

7. Intellectual Property

Our property: The Service, including all software, algorithms, interfaces, content, and documentation, is owned by Foxello and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Your content: You retain full ownership of the documents you upload and the data extracted from them. By uploading documents to the Service, you grant Foxello a limited, non-exclusive, royalty-free license to process those documents solely for the purpose of providing the Service to you.

We do not use your documents to train our models or share them with third parties, except as described in our Privacy Policy.

8. Feedback

If you submit suggestions, comments, bug reports, or other feedback about the Service ("Feedback"), you grant Foxello a perpetual, non-exclusive, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that Feedback into the Service or any other product or service, without any obligation to compensate you.

9. Data, Privacy, and Data Processing

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including the EU General Data Protection Regulation (GDPR) and any other applicable privacy regulations. If you upload or process documents containing personal data belonging to third parties, you are responsible for having an appropriate legal basis for doing so.

Data Processing Agreement (DPA): If you are a business subject to GDPR and require a formal Data Processing Agreement to govern Foxello's processing of personal data on your behalf, you may request one by contacting privacy@foxello.com. Under such a DPA, Foxello acts as the data processor and you as the data controller.

10. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information disclosed in connection with the Service ("Confidential Information"), using at least the same degree of care as it applies to its own confidential information, but no less than reasonable care.

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was independently developed by the receiving party without reference to the disclosing party's information; (c) is disclosed to the receiving party by a third party without restriction; or (d) was already lawfully in the receiving party's possession prior to disclosure.

A party may disclose Confidential Information if required by law or court order, provided it gives the other party prompt written notice and takes reasonable steps to limit the scope of disclosure.

Confidentiality obligations under this section survive termination of these Terms.

11. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that extraction results will be error-free or complete. Confidence scores are provided as guidance only. You are responsible for validating extracted data before relying on it for any business decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOXELLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

Our total aggregate liability to you for any claims arising from these Terms or the Service shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Foxello and its operators, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any claim that your documents or data infringe or misappropriate the rights of a third party.

14. Termination

You may terminate your account at any time by contacting us at hello@foxello.com or through your account settings. We may terminate or suspend your access to the Service immediately, without prior notice or liability, if you violate these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

Survival: The following sections survive termination of these Terms and continue in full effect: Section 7 (Intellectual Property), Section 8 (Feedback), Section 10 (Confidentiality), Section 11 (Warranties and Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), and Section 18 (Governing Law and Disputes).

15. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Foxello may assign or transfer these Terms, in whole or in part, without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, provided that the acquiring entity assumes all obligations under these Terms. We will notify you of any such assignment.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond that party's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, internet or infrastructure outages, power failures, or government actions ("Force Majeure Event"). The affected party shall give prompt written notice to the other party and use commercially reasonable efforts to resume performance. If a Force Majeure Event continues for more than 30 consecutive days, either party may terminate the affected service by written notice.

17. Independent Contractor

Foxello operates as an independent contractor. Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Foxello. Neither party has authority to bind the other to any obligation.

18. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Bulgaria and the jurisdiction of the courts in Rousse, Bulgaria, and, where applicable, the laws of the European Union, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service - except for disputes concerning intellectual property rights or requests for injunctive relief - shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, disputes shall be submitted to binding arbitration conducted in English, with the arbitrator's decision being final and enforceable in any court of competent jurisdiction.

Nothing in this section limits either party's right to seek urgent injunctive or equitable relief from a court of competent jurisdiction. Nothing in this section removes any mandatory rights you may have under applicable EU consumer protection law.

19. Notices

Notices under these Terms may be sent by email. Notices to Foxello should be sent to hello@foxello.com. Notices to you will be sent to the email address associated with your account. A notice is deemed received on the next business day after it is sent, provided no delivery failure notification is received.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or competent authority, that provision shall be interpreted to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect unaffected.

21. Entire Agreement

These Terms, together with the Privacy Policy and any applicable order or plan documentation, constitute the entire agreement between you and Foxello regarding the Service and supersede all prior written or oral agreements, communications, and understandings relating to the same subject matter.

22. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.
